4. Client Obligations

5. Fees and Payment

  • Fees are agreed upon before commencement of services

  • Late payments may incur interest at 8% above the Bank of England base rate
  • All fees are exclusive of VAT unless stated otherwise

6. Intellectual Property

  • We retain ownership of all methodologies, frameworks, and materials we develop
  • Working papers and methodologies remain our property unless specifically transferred
  • You retain ownership of your confidential information and data
  • Deliverables created specifically for you become your property upon full payment
  • You grant us permission to use anonymised case studies for marketing purposes

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during our engagement. This obligation survives termination of our services.

8. Limitation of Liability

  • Our liability is limited to the fees paid for the specific services in question
  • Our maximum liability for any single engagement shall not exceed the fees paid for that specific project
  • We are not liable for indirect, consequential, or special damages
  • We do not guarantee specific business outcomes from AI implementation
  • Nothing in these Terms excludes liability for death, personal injury, or fraud

9. Termination

  • Either party may terminate services with 30 days written notice
  • We may terminate immediately for breach of these Terms
  • You remain liable for fees incurred up to termination
  • Confidentiality obligations survive termination

10. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the UK GDPR.

11. Disclaimer

  • Our advice is based on information provided and current technology
  • Implementation decisions remain your responsibility
  • We cannot guarantee compatibility with all systems or workflows
  • AI technology evolves rapidly; recommendations may become outdated

12. Force Majeure

Neither party is liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, pandemics, or significant technology failures.

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with any signed service agreements, constitute the entire agreement between us regarding our services.

16. Changes to Terms

We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the new Terms.
